No, the 3.02 software will not even install in W2K, but you do not need it.  W2K has support directly for the joystick and includes a basic setup and diag tool as well.
You just have to open the Game Controllers ICON in the control panel and install the right one, all in W2K.

In AH, I just use the AH settings.  The other games I play also have thier own programming in them, so I have never needed the UI for the joystick.
There is a calibration wizard in W2K, so you can do the system lvel calibration.
