hmmmm ....
Try this to nail it :
Disable the “restart on system failure”
Right-click on My Computer
Click Proprierties
Click the Advanced tab
Under “Startup & Recovery"
Click Settings.
Under “System Failure,”
Uncheck the box in front of “Automatically restart.”
Now instead of a reboot you should have an error message.
It's likely a driver error (ie a driver that don't want to be shutdown :D)

I had this except instead of shutting down it would restart. I'll be B****red if I know how I fixed it but it just stopped doing it!

I get this 'hanging on shutdown' periodically and have to resort to switching off manually. I press and hold the power button for about 5 seconds, then release as quickly as possible as the power goes off - otherwise, it starts up again! Went for quite a while with it shutting down properly, but it started again recently - I think after installing some new video drivers.....

Check in the event viewer(*) if there is any error.
The best way is to clear the log then reboot the PC and try to shutdown.
(*) the event viewer can be found in control pannel\administrative tools

Just a thought. You may have tryed this but here goes
go to Controle Panel
Click on Apperance and Themes
Click on ScreenSaver
Look at the bottom and click on a button named Power
Click on the Advanced tab and look to see if your power button is set to shutdown when you press it.
Hope this helps,

It's something like that Loony.
BGB among the blue garbage you can see on your screen you will likely see a : *****.sys ,it's the name of the culprit driver.
Try to post it here it will give some help.
Something you can try also :
go to the the power options applet in Control Panel.
If there is an APM tab, check the “Enable Advanced Power Management Support” box.
If it's checked : uncheck it.
(cross your finger ... it may work ... or not :))

Have a look here:
Microsoft Support hits for IRQL_NOT_LESS_OR_EQUAL (http://support.microsoft.com/search/default.aspx?InCC_hdn=True&Catalog=LCID%3D1033%26CDID%3DEN-US-KB%26PRODLISTSRC%3DON&Product=&KeywordType=ALL&Titles=false&numDays=&maxResults=25&Queryl=irql_not_less_or_equal+&Query=irql_not_less_or_equal+&QuerySource=gsfxSearch_Query&srchExtraQry=)

If you uncheck the “Enable Advanced Power Management Support” box." you will most likely get the old "It is safe to shutdown your computer" message when you turnoff WindowsXP.
Having said that, at least WindowsXP will shut down without a restart.
