If you are getting that when attempting to install DX9, you have some serious problems.
Make sure you have Administrator privileges befoer installing DX9. How are you trying to install it?
Are you using the MS Updater?
If you are using the MS Updater and have Admin privileges, then I would say you pretty much are looking at a reinstallation of the operating system.
EDIT: There is one more remote possibility. You have some very old drivers somewhere that DX9 cannot get to register thus causing the installation failure. Could be video, sound, input drivers.

thanks Skuzzy I will check all that :)

If you respond to the annoying little message that pops up saying there are updates waiting to be downloaded...... ;)
-
I turn off the auto-updater myself, and just use the "Tools->Windows Update" option in Internet Explorer.
I was just wondering how you were attempting to upgrade to DX9.
-
ok I've got it off
thanks

ok I got dx9b installed through windows update mgr. But when In offline it worked then I went in again I got this error
d3d9.dll not found try re-installing what is this and how do i re-install?
-
Well,..that is the DirectX 9 DLL library and if Windows cannot find it, then it is not properly installed.
When you run DXDIAG (Start->Run->DXDIAG) what version of DirectX does it show?
-
Damn DX8.1 is what it shows I did the load from updater twice still 8.1

It would seem something is seriously wrong with your operating system installation.
However, on last question. Are you absolutely sure you have administrator privileges? If not, then install should have complained, but it is worth asking.
