Would I see a significant improvement in-up grading my CPU:confused: The mother board P4C800deluxe will handle it,this would be the limit in GHz.

No not really i would spend the money elswere.

I have a2.4 and I overclock to 3.0 wich kicks my FBS up to 1000
I notice just a tiny difference.

No. Spend that money on a video card or RAM.

ram and vidcard are the easiest and greatest improvements that can be made on your system without buying a top line extreme processor for 800 bucks or dual cpu/vid setup where each card renders 1/2 the screen.
