Need a DXDIAG output. Usually it means a driver has not been loaded, for sound card, for instance.

Your component list makes me think you've built your computer quite recently. Have you installed all of the motherboard drivers?
Don't forget the DxDiag!

I didnt have the driver installed for my video card, LOL. All is well now, thank you for your help!!

NM. Just in case you or someone else would need this piece of information: The Windows installation will make the Device Manager look mostly alright, but it uses generic drivers for the motherboard components. Motherboards usually include a CD containing dedicated drivers, which may improve performance a lot. Just so you know...

Yes that was part of my problem, thanks to all the helpfull people here I am up and running and able to provide better sticks with a target of opportunity, LOL!!

Yes! The drivers are kind of important! :D
I'd recommend making your own CD of the newest drivers available for all of your components. Get them from the manufacturer's sites and install those. Generally they'll be improved on the ones that came on the CD in the box they came in.

Just found a similar problem with new update to Windows 7 64 bit. It was fixed when I removed SweetFx from the program. :salute

I apologize Nimrod, I hope everything is running for you now. I was searching to see what was causing my game to stop loading after the initial run from the install prompt. It turns out that as the fellas have suggested here, I was missing an obscure driver. For me the fix was not straight forward as I thought it should be.
FIXED:
I downloaded dxwebsetup.exe and ran it. Note: Although I am running Windows 7 64 bit with DirectX 11 version, in order to find the particular driver (to run SweetFx again) this setup runs the DirectX 9C update :D and it worked, giving me the missing file, while keeping my DirectX 11 version intact. :x
