If the FSB is at 400 and the true clockspeed is 2.2 GHz, it's going to be a pretty even match with the P4 rig.
Intel branded motherboards are not made by Intel. They are outsourced to a lot of different manufacturers. In the past Intel has used Gigabyte, FIC, and DFI to make their boards. Typically Intel branded boards lack any significant overclocking or tweaking options of any kind and are not quite as fast as other boards. They are, however, typically extremely stable.
PC3200 is DDR400. (I'm assuming the PC3000 might be a typo.)
