I am sorry, by motherboard specs I meant who manufactured it, what is the model and version as roscorro said you may be very limited in upgrading the cpu.
If you are really tight on costs and do not mind being again limited on upgrades you can get a nforce 2 motherboard with a 2500 333MHz fsb cpu for about 120 on pricewatch.com. These will work well with your new ram (make sure it is al least PC2700)
or if you can spend more then go for the lower end A64s i.e. 2800/3000 939 config. You will likely spend about 190-250 for this but you have a larger upgrade path.
I strongly do not recommend a purchasing a slightly higher clock P3 ---think it is money wasted
