I wouldn't go with a 3.2 CPU.
I just put a new system together and when looking over the prices on CPU's the 3.0 was about $20 more than a 2.8, but a 3.2 was about $100 more than a 3.0.  so for now I draw the 'not enough bang for the buck' line between the 3.0 and the 3.2 (but I did get a MB that will allow me to upgrade to 3.8 when the CPU prices are a bit more reasonable in that range.

for video cards I just got a ati radeon X700 pro w/256m for $220.  but it was pci-express so that won't likely help you much if your MB is set up for agp.

I was in the same spot, wondering new mb&cpu or upgrade video.

I opted to stick it in savings and keep adding so I can just do a whole new system :)

(I know, sucks to wait!)

It should have 8xAGP. You could probably get away with just upgrading your video card.
