I have the Gigabyte GA-K8NF9 Ultra and it's a great MB, but there's not much performance difference between the two MB's if you don't OC. The  3200+ seems to have better bang for the buck. The Radeon 9800 will play all current games well, and even better if you OC it a little.

I'd personally get the AsRock and do a processor+vid card upgrade in 2 years.
