Are the files write-protected?  In Win7 and Vista, if you install an application as one user, and then try to modify it as another user, those operating systems will complain long and loud.  It is UAC (User Access Control) at work.

You can do the upgrade but you do this file backup program from Microsoft which moves files back after the upgrade.  The upgrade from XP basically wipes the old os.  I redownloaded ah after the upgrade and re downloaded again this morning with the same result.

Its also the absolute worst way to update which is probably why you are having this problem.
